Hi everyone! We’re planning an upcoming update to our organization’s bylaws. Are there any changes or additions you’d like us to consider before we draft revisions?

Our goal is to review suggestions this month and present the updated bylaws for board approval at the next meeting.

Thanks for starting this, Michael. One thing that came up last meeting was clarifying term limits—should we make that part of this update?

Yes, good point. Right now, it just says “terms are renewable” but doesn’t specify a limit. Do we want to propose something like two consecutive 3-year terms?

I support adding that. It’s best practice and encourages fresh leadership. Maybe include an option to return after a one-year break?

Agree on term limits. I’d also like us to look at remote participation. Our bylaws still assume all meetings are in person. Can we update language to allow virtual meetings and voting?

Another suggestion: Should we add a section on conflict-of-interest disclosures? We’ve been doing it informally, but it would be good to formalize it.

Do we need to include anything about emergency decision-making? For example, who has authority to act if we can’t convene the full board quickly?

Yes, that’s another great point. I’ll include a draft clause for executive committee authority in emergencies.

Suggestions so far:

  • Add term limits (two consecutive 3-year terms with a one-year break)
  • Update bylaws to allow virtual meetings and voting
  • Add formal conflict-of-interest disclosure policy
  • Include emergency decision-making procedures

I will prepare a draft incorporating these and circulate for review by next week.
